Metaplanet, a Japanese company, has signed a definitive agreement to acquire Super League Enterprise, a Nasdaq-listed company, and transform it into a new Bitcoin treasury vehicle called Superplanet. The acquisition is valued at 2,100 BTC and $2.5 million in cash, in exchange for 44.86 million shares at $3 each, as well as preferred shares and warrants. Upon completion, Metaplanet will own approximately 95.7% of the new entity.
The acquisition allows Metaplanet to inherit an existing Nasdaq ticker without going through the lengthy process of a direct listing. The deal is expected to be completed by the fourth quarter of 2026, subject to approval from shareholders and regulators in the US and Japan.

Metaplanet already holds 43,000 BTC, the third-largest corporate treasury in the world, and aims to reach 100,000 BTC by the end of 2026. The company plans to use Superplanet to accumulate more Bitcoin and issue securities to buy additional coins, replicating the strategy that has driven its stock price up over 1,700% since July 2024.
