"" India Facility to Produce rDMT and Specialty Polymers
Loop Industries, Inc. (NASDAQ:LOOP) has entered into definitive agreements with Ester Industries Ltd. to form a joint venture in India, Ester Loop Infinite Technologies Private Limited (ELITe), to produce recycled dimethyl terephthalate (rDMT), recycled mono-ethylene glycol (rMEG), and specialty polymers.
License Agreement Terms
The License Agreement, signed August 13, grants ELITe a non-transferable, perpetual, exclusive license to use Loop’s proprietary depolymerization technology and related intellectual property to manufacture and sell rDMT, rMEG, and specialty polymer products in India and other mutually agreed territories. Royalties are to be paid by ELITe to Loop based on a tiered percentage of annual net sales.
Marketing Agreement and Services Agreement
The Marketing Agreement appoints Loop as ELITe’s exclusive sales, marketing, and promotional representative for licensed products, with Loop having sole rights to enter sales contracts and set prices and quantities. The Services Agreement grants Ester a license to certain process know-how and provides post-incorporation, project management, and operational services to ELITe.
Key Provisions
All agreements continue indefinitely and include provisions for termination in cases of material breach or default. Royalty payments begin upon the first commercial sale of a licensed product, and rates increase if the Marketing Agreement is terminated.
