HONG KONG - Green Circle Decarbonize Technology Limited (NYSE:GCDT) has increased its authorized share capital from $50,000 to $5,000,000, according to a press release statement.
The company's board of directors approved the changes on July 17 and August 6, 2026, while shareholders approved the measures at an Extraordinary General Meeting held on August 10, 2026.
The new share structure features 4,993,640,000 Class A ordinary shares and 6,360,000 Class B ordinary shares, both with a par value of $0.001 each. Existing ordinary shares were re-designated as Class A ordinary shares on a one-for-one basis.
The company repurchased 5,280,000 Class A ordinary shares held by Joyful Star Limited and issued 5,280,000 Class B ordinary shares as consideration. It also repurchased 1,080,000 Class A ordinary shares held by Green Circle Limited and issued 1,080,000 Class B ordinary shares as consideration.
New Share Structure
Each Class A ordinary share carries one vote per share, while each Class B ordinary share carries 50 votes per share. The company amended its memorandum and articles of association to reflect the new share structure.
Green Circle Decarbonize Technology Limited operates through its Hong Kong subsidiary, Boca International Limited, which develops and manufactures Phase Change Material storage systems for cooling and heating applications.
