BlackRock's HPS Investment Partners and Brookfield's Oaktree Capital Management have taken control of MBS Group, a major provider of production equipment and studio infrastructure to the entertainment industry. The debt-for-equity restructuring deal wiped out up to $900 million in debt and included a $40 million injection to stabilize the business. Former owners Hackman Capital Partners and Affinius Capital have been ousted from their positions entirely.
Debt Restructuring
The takeover reflects Hollywood's deepening financial stress, as production spending began contracting in 2022 after a period of rapid growth fueled by the streaming wars. MBS Group, which services clients across over 600 sound stages globally, found itself unable to service its debt load after the correction hit.
Institutional Growth
For HPS, this deal arrives during a period of rapid institutional growth, following BlackRock's $12 billion all-equity acquisition of the company. The post-2022 correction, combined with the 2023 writers' and actors' strikes, brought US production to a near standstill, and studios have since learned to operate leaner.
Business Outlook
The $40 million in fresh capital committed by the creditor group is earmarked to stabilize the business and fund growth, not to pay off other obligations or wind things down. MBS Group's new ownership structure is expected to position it for growth, despite the current challenges facing the entertainment industry.
